Terms of the first analysis
You accept them before you receive an analysis of a specific chain. They don’t apply to the anonymized example from your sector.
- Scope
These terms govern the free first analysis that Acumaris prepares at your request (“you” being the person who requests it and the company on whose behalf they act). The details of the company behind Acumaris are provided in writing on request, before you name a chain.
- What you receive
If you ask for an example (no need to accept these terms): a sample analysis from your sector, with no chain, city, or unit names. If the chain is yours and you plan to sell it, or it is part of your portfolio, a named analysis of that chain covering one unit in each of two cities, which we select; we tell you which ones before we start. If it is a chain you are evaluating, financing, or advising on, an analysis of that chain covering one unit in each of two cities, selected by us; we tell you which ones before we start, but the document itself does not name the chain, the cities, or the competitors.
- What you confirm
That the information you give us is accurate and that you are authorized to act on behalf of your company. If you request a named analysis, that the chain is yours and you plan to sell it, or that it is a portfolio company. If you request an analysis of a chain you are evaluating, that your company is evaluating, financing, or advising on a transaction involving it. We may verify your request before we start, and decline to deliver the analysis if it cannot be verified. If your company competes with the chain, or acts for one of its competitors, we will send you only the sector example. We do not accept requests from companies based in Russia or from any individual or entity subject to international sanctions.
- Permitted use
Internal use only, by your team and your advisers, provided they are bound by equivalent confidentiality obligations. Every page carries your company’s name, the date, and the marking “Confidential · Internal use only.”
- What you may not do
Publish the analysis or any part of it; give it to the chain analyzed (unless the chain is yours or in your portfolio), to its competitors, or to the media; use it in legal proceedings without our written consent; attempt to re-identify anything delivered to you in anonymized form; remove your company’s name or any confidentiality markings.
- What it is and what it is not
An interpretation of public information as of a given date. It is not investment, legal, or tax advice, nor a valuation, and it does not guarantee any outcome. The decision is yours.
- Liability
The first analysis is free of charge. To the extent permitted by applicable law, Acumaris is not liable for decisions made on the basis of it. This limitation does not apply in cases of willful misconduct or gross negligence.
- If it is shared improperly
You are liable to Acumaris for any damages caused by using or disclosing the analysis in breach of these terms, including damages arising from third-party claims.
- Our confidentiality obligations
We do not contact the chain you name, we do not disclose that you asked or which chain you’re interested in, and we do not reuse your analysis for anyone else.
- Personal data
We process your data as set out in the privacy policy. We keep a record of your acceptance (what you accepted, when, and from which email address) for as long as the confidentiality obligations remain in effect.
- Term
The confidentiality obligations last three years from delivery of the analysis.
- Governing law, acceptance, and signed agreement
You accept these terms by checking the box on the form and confirm them by email before receiving the analysis. Our confirmation email states the governing law and jurisdiction, along with our company details. If you prefer a signed confidentiality agreement, we will sign one before you name the chain.
